Terms of Service
Effective November 3, 2026
These terms govern your use of emergente.net and our forms and contact channels. Please read them carefully: by using the site or sending us a request, you agree to them.
01 Acceptance
These terms are a binding agreement between you and EMERGENTE LLC ("EMERGENTE"), a limited liability company organized under the laws of the Commonwealth of Puerto Rico. If you do not agree, do not use the site.
If you use the site or send us a request on behalf of a company, you represent that you have authority to accept these terms on its behalf.
02 Eligibility
You must be at least 18 years old to send a request. To contract our services you must have legal capacity to bind yourself under the law that applies to you (in Puerto Rico, the age of majority is 21) or act as an authorized representative of a company.
03 Permitted use of the site
We grant you a limited, non-exclusive, non-transferable and revocable license to use the site to learn about our services and contact us. You may not:
- Use the site for unlawful purposes or in breach of these terms.
- Submit false information, impersonate another person or company, or use the forms to send messages to third parties.
- Submit malicious code, spam or content that interferes with the site.
- Attempt unauthorized access to our systems or run vulnerability tests without our written permission.
- Extract content in an automated, large-scale way, or copy the site’s design or code.
04 Information you send us
You agree to give us accurate information that you have the right to share. You authorize us to use it to answer your request as described in our Privacy Policy.
Do not send confidential third-party information or sensitive data such as Social Security numbers, health information or banking details through the form. If a project requires it, we will agree on a secure method.
05 Informational content, proposals and contracts
Site content is informational and is not a binding offer. Service descriptions, examples and results mentioned illustrate what we can do but do not guarantee specific results for your business.
The scope, deliverables, timeline, investment, applicable taxes (including Puerto Rico sales and use tax, IVU), payment terms and warranties of each project are set only in the proposal or contract both parties accept in writing. If that document conflicts with these terms, the contract prevails. Each quote is valid for the period it states.
06 Your data is yours
In the projects we deliver, your business and customer data belong to you. Each project contract sets out information ownership, access to accounts and systems, delivery of your data in open formats and its deletion when the relationship ends. Our Privacy Policy explains how we protect it.
07 EMERGENTE intellectual property
The EMERGENTE brand, logo, text, design, images and site code belong to EMERGENTE LLC or its licensors and are protected by intellectual property laws. You may not use them without our written permission. Third-party marks mentioned belong to their owners.
If you send us comments or suggestions about our services, we may use them without obligation to you.
08 Third-party products and sites
The site links to other sites and products, such as PlanLauncher and Agenthoods, which are governed by their own terms. We are not responsible for the content or practices of third-party sites.
09 Electronic communications and signatures
You agree to receive our communications, proposals, contracts and invoices electronically. Electronic documents and signatures have the same validity as paper documents under the Puerto Rico Electronic Transactions Act (Act 148-2006) and the federal E-SIGN Act.
10 Disclaimer of warranties
To the fullest extent permitted by law, the site is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee the site will be error-free or uninterrupted. Warranties for our services are only those set in each project contract.
11 Limitation of liability
To the fullest extent permitted by law, EMERGENTE will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business opportunities, arising from use of or inability to use the site. Our total liability for any claim related to use of the site will not exceed one hundred dollars (US$100).
This limitation does not apply to liability that the law does not allow to be limited, such as liability for fraud or gross negligence. Liability related to our services is governed by each project contract.
12 Indemnification
You agree to indemnify and hold harmless EMERGENTE and its personnel from claims, damages and reasonable expenses, including attorneys’ fees, arising from your misuse of the site or your breach of these terms.
13 Suspension of access
We may suspend or block access to the site, or reject requests, that breach these terms or put the security of our systems, clients or others at risk.
14 Governing law and disputes
These terms are governed by the laws of the Commonwealth of Puerto Rico and applicable federal laws of the United States.
Before starting any proceeding, the parties will try to resolve any dispute in good faith for 30 days after written notice. If it is not resolved, it will be brought before the Puerto Rico Court of First Instance, Bayamón Judicial Region, or the United States District Court for the District of Puerto Rico when it has jurisdiction, and both parties submit to those courts.
15 General provisions
- Entire agreement: these terms, our Privacy Policy and, where one exists, each project contract form the entire agreement between the parties on their subject.
- Severability: if a court finds a provision invalid, the rest remain in effect.
- No waiver: not exercising a right does not waive it.
- Assignment: you may not assign these terms without our written consent; we may assign them in a corporate transaction.
- Language: these terms are published in Spanish and English. If the versions differ, the Spanish version prevails.
16 Changes to these terms
We may update these terms. The current version will always be on this page with its effective date. Changes do not affect signed contracts, which are governed by their own terms.
